Obligations

ROYAL CALL will provide numbers to you to receive traffic to. You will be paid the rate offered by ROYAL CALL for the traffic received to the numbers assigned to you. Numbers can be revoked from you any time and without any notice.
ROYAL CALL shall provide you detailed statistics regarding your traffic, like calls and minutes generated. ROYAL CALL will provide you Login details for the statistics panel.
The statistics provided are the only valid ones for earning calculations and they may differ with those of the carriers or from those of your systems.

Client Obligations

It's the clients responsibility to cater service to its callers/users.
The client is responsible for the service provided on the numbers provided by ROYAL CALL.
Client needs to comply with the Laws and Regulations of the country (where the service is provided), as well as the its telecom legislation.
The client will have no right or can't claim any kind of ownership of the numbers.
ROYAL CALL needs to know from the client, the kind of service they offering through the numbers.
The service should not breach any Laws of the state, copyright laws, intellectual property and it should not be defamatory.
The client needs to pay all fines or charges levied upon by third party, dues to clients failure to comply with relevant rules and regulations issued by the third party.

Payment Rates and Terms

ROYAL CALL would set a specific rates and terms for every number.
Clients would be paid based upon those rates and terms to the bank account/s provided once the earnings are matured based on the payment terms of every number.
All wire transfers charges are supported by the client.
ROYAL CALL can change the rate or terms of the number at its own discretion.
All chargeback or other fees if any shall be deducted from client's payments.
If the charge back is higher than what credit the client has with ROYAL CALL, then the client agrees to pay the same with 2 weeks on receiving the invoice.
ROYAL CALL reserves the right to hold or not pay the client, in case there are chargeback or complaints from third party carriers.

Misuse of Numbers

Using ROYAL CALL numbers for Fraud is strictly prohibited.
The client shall cooperate with ROYAL CALL to sort out any such issues and prevent fraudulent calls or fraudulent promotions.
ROYAL CALL shall provide all information regarding complaints due to fraudulent traffic on numbers.
Client is responsible for the content or service provided on ROYAL CALL numbers.
In case of any legal action with regards to the numbers provided by ROYAL CALL to the client, the client is responsible for the legal action and shall bear all costs and risks.
The client shall provide all documents that would be required by authorities and courts.
ROYAL CALL has the right to suspend all payments to the client, if the client misuses the numbers for illegal purposes or fraud and to charge back every amount disputed by its customers from future payments to the client.

Term and Termination

This agreement shall commence from the date hereof and shall remain in force until either party furnishes a written notice of termination for a period of at least ninety (90) days beforehand.
Either party could terminate or suspend this agreement at any time by furnishing a written notice to the other where either party has committed a breach of this agreement and fails to remedy such breach within 30 days of receipt of notice requiring to do so.
The Company may immediately terminate this agreement if there is conflicting publicity against the company in relevance with the client's services.
Termination, suspension, or expiry of this agreement for any reason shall be without prejudice to any of every party's corresponding rights and obligations accruing up to and as well as the date of such termination, suspension or expiry.
Neither party shall be held to be in breach of its liability under the agreement nor be accountable to the other party for any loss or damage that may be suffered by the other party due to force majeure.

Entire Agreement

This agreement represents the entire understanding of both parties corresponding to the subject matter hereof and supersedes all previous agreement, representations or understandings by either party whether oral or written.

No Waiver

Failure by either party to exercise or enforce any right in accordance with this agreement shall not be consider to be a waiver of any such right nor operate so as to bar the exercise or enforcement thereof or any other right on any later circumstance.

Transfer of Contract

ROYAL CALL is allowed to transfer his agreement to a third party company or to a company of the same group and inform the client within 30 days from the transfer.
Payments to the client are in this case guaranteed by ROYAL CALL for the traffic generated within 30 days from the transfer.

Liability

The service, its operation, its use and also the results of such use shall be performed in a workman like manner. To the fullest extent permissible pursuant to applicable law, ROYAL CALL disclaims all warranties express or implied, including, however not limited to, implied warranties of merchantability and fitness for an specific purpose, in accord to the service, its use and also the results of such use. Without limiting the foregoing, ROYAL CALL specifically disclaims any warranty

• (a) that the service will be continuous or error-free,
• (b) that defects will be corrected,
• (c) that there are no viruses or other harmful components,
• (d) that the security methods will be adequate pertaining to the correctness, accuracy, or reliability.

Notices

Any notice, other document which may be given under the agreement shall be considered to have been duly given if left at or sent by mail to the usual or last place of business of the recipient party.
This can be suitable also to notices, invoices or other documents sent to the client's secured e-mail address.

Intellectual Property Rights

The parties' respective intellectual property rights shall remain the property of whichever creates or owns the same and nothing in this agreement shall be considered to accord any assignment or license of the intellectual property rights of the other party, save that the intellectual property rights or goodwill in the numbers shall hereby be bestowed in or assigned to The Company.

Governing Law

This agreement is governed by the laws of Turkey (except for conflict of law provisions). The exclusive forum for any actions brought in reference to this agreement shall be in Turkey therefore client consents to such jurisdiction. However, ROYAL CALL, in its sole discretion, can take any legal action against the client within the country where he has his legal presence, under the law governing this country.
